AVARTEK – TERMS AND CONDITIONS OF SALE AND RETURN POLICY

These Terms and Conditions apply to purchases made from Avartek Ltd through our website, by email, quotation, proforma invoice or any other sales channel through which these Terms are incorporated.

Please read these Terms carefully before placing an order.

Nothing in these Terms limits or excludes any statutory rights which cannot lawfully be limited or excluded.

References to “Avartek”, “we”, “us” or “our” mean AVARTEK LTD.

References to “you”, “your” or “customer” mean the individual, company or organisation purchasing or attempting to purchase goods from us.

2. Consumer and Business Customers

These Terms apply to both consumers and business customers unless a particular provision states otherwise.

A “Consumer” means an individual acting wholly or mainly for purposes outside their trade, business, craft or profession.

A “Business Customer” means a person or organisation purchasing wholly or mainly for business purposes.

Certain statutory protections apply specifically to Consumers. Nothing in these Terms is intended to exclude or restrict those rights.

3. Product Information

We take reasonable care to ensure that product descriptions, specifications, photographs, dimensions and other information displayed on our website are accurate.

Images are provided for illustrative purposes. Colours and appearance may vary slightly due to photography, lighting, screen settings, manufacturing batches or supplier changes.

Product packaging may differ from that displayed without affecting the product itself.

Minor variations in dimensions, quantities, materials, colour shades or specifications may occur where reasonable for the type of product concerned and where they do not cause the goods to fail to comply with applicable legal requirements.

Where exact dimensions, specifications, colours or tolerances are essential to your intended use, please contact us before ordering.

Unless we have expressly confirmed suitability in writing, customers are responsible for checking that a product is suitable for their particular equipment, printer, machine, application or intended use. This does not affect statutory rights relating to goods that are faulty, misdescribed or otherwise do not conform to contract.

4. Prices and VAT

Prices will be displayed as inclusive or exclusive of VAT as applicable.

The total amount payable, including VAT and delivery charges where applicable, will normally be shown before an online order is submitted.

We may change product prices at any time. A subsequent price change will not normally affect an order already accepted by us.

4.1 Pricing Errors

Despite reasonable efforts, pricing or listing errors may occasionally occur.

If we discover an obvious pricing error before accepting an order, we may cancel the affected item or contact you to ask whether you wish to proceed at the correct price.

If payment has already been taken and the order is cancelled, the relevant amount will be refunded.

4.2 Price Changes After Ordering

Product prices, promotions, quantity discounts and special offers may change from time to time due to supplier costs, exchange rates, stock levels, purchasing volumes, market conditions and promotional activity.

Unless required by law or expressly agreed by Avartek, a subsequent reduction in our price or another seller’s price does not entitle a customer to a retrospective discount, partial refund, credit or reimbursement of the difference.

Promotions, discount codes, sale prices and quantity discounts introduced after an order has been placed will not normally be applied retrospectively.

5. Placing an Order

When ordering through our website, customers are provided with an opportunity to review their order and correct errors before submitting it.

After an order is placed, we may send an acknowledgement confirming that we have received it.

An order acknowledgement does not necessarily constitute acceptance of the order.

Current government guidance requires online sellers to provide specified pre-contract information, make the obligation to pay clear and allow customers to correct ordering errors.

6. Acceptance of Orders

Unless expressly agreed otherwise, a contract is formed when we dispatch the goods or otherwise expressly confirm acceptance of your order.

We may decline or cancel an order before acceptance where, for example:

  • goods are unavailable;
  • stock information is incorrect;
  • payment cannot be authorised;
  • an obvious pricing or product-description error has occurred;
  • delivery cannot reasonably be made to the address supplied;
  • we reasonably suspect fraudulent or unauthorised activity;
  • quantity restrictions apply; or
  • we cannot lawfully or reasonably fulfil the order.

Where payment has already been received for an order we subsequently cannot accept, the relevant amount will be refunded.

7. Payment

Unless credit terms have been agreed with a Business Customer, payment must normally be made in full before goods are dispatched.

Online payments are processed through the payment methods made available at checkout.

Available payment methods may change from time to time.

We may undertake reasonable payment, fraud-prevention and order-verification checks before accepting or dispatching an order.

8. Stock Availability and Substitutions

All products are subject to availability.

Although we make reasonable efforts to maintain accurate stock information, stock levels may change rapidly.

If a product becomes unavailable after an order is placed, we may contact you to offer:

  • an alternative size, colour, quantity or format;
  • a suitable alternative product;
  • partial fulfilment;
  • delivery when replacement stock becomes available; or
  • a refund for the unavailable goods.

We will not substitute a materially different product without the customer’s agreement.

Where only part of an order is unavailable, we may dispatch the available goods separately where appropriate.

9. Pre-Orders and Backorders

Products identified as Pre-Order, Backorder, Available to Order or similar may not be immediately available.

Any expected stock or delivery date provided is an estimate unless expressly guaranteed.

Where we become aware of a material delay, we will endeavour to contact the customer and provide appropriate options.

9.1 Estimated Availability and Delivery Dates

Estimated availability, production, dispatch and delivery dates for Pre-Order and Backorder products are given in good faith but may change because of manufacturing, shipping, customs, carrier or supplier delays and other circumstances outside our reasonable control.

Where a specific delivery date is essential, the customer must obtain our express written agreement before ordering. Nothing in this section affects a Consumer’s statutory rights where goods are not delivered within an agreed period or within the period required by law.

9.2 Consumer Pre-Orders

A standard Pre-Order or Backorder is not automatically excluded from a Consumer’s statutory cancellation rights merely because the goods are awaiting stock or future release. Consumers retain any cancellation and return rights that apply under law, subject to lawful exceptions including goods made to the Consumer’s specification or clearly personalised.

Where a Consumer validly cancels a standard Pre-Order before dispatch, we will provide any refund required by law. Where a Pre-Order product is custom-made, personalised, printed, cut or otherwise produced to the Consumer’s specification, Section 29 will apply.

9.3 Business Customer Pre-Orders and Special Procurement

For Business Customers, an accepted Pre-Order, Backorder or special-procurement order is a firm commercial commitment. Once we have ordered the goods from a supplier, allocated stock, incurred costs or commenced procurement, production or import arrangements, the order may not be cancelled, changed or returned for convenience without our prior written agreement.

Correctly supplied, non-faulty Pre-Order, Backorder and special-procurement goods purchased by a Business Customer are not eligible for change-of-mind returns, exchanges or refunds.

If we agree, at our discretion, to a Business Customer’s cancellation, any refund or credit may be reduced by reasonable and evidenced costs or losses caused by the cancellation, including non-refundable supplier charges, production costs, freight, customs, payment-processing and administration costs. Any deduction will be proportionate and will not operate as a penalty.

9.4 Deposits and Advance Payments

A deposit or advance payment for a Pre-Order, Backorder, special-procurement or customised order reserves production capacity, stock or purchasing commitments. For Business Customers, such payments are non-refundable once we have incurred supplier commitments, production costs or other losses, except to the extent that the amount retained would exceed our reasonable costs and losses or where otherwise required by law.

Consumer deposits and advance payments will be handled in accordance with applicable law and will not be retained where doing so would be unlawful or disproportionate.

9.5 Faulty, Incorrect or Misdescribed Pre-Order Goods

Nothing in this section excludes or restricts rights relating to goods which are faulty, unsafe, incorrectly supplied, materially misdescribed or otherwise do not conform to the contract.

10. Delivery

We aim to dispatch orders within 2 working days, subject to stock availability, payment, order verification and any specific product lead time.

Some products may be dispatched directly from one of our partnered manufacturers or suppliers.

10.1 Standard Delivery

Standard UK delivery is generally estimated at 2–5 working days.

Most UK mainland customers should therefore receive their goods within approximately 5 working days of placing their order, subject to stock availability and circumstances outside our reasonable control.

10.2 Next-Day and Express Delivery

Next-day or expedited delivery may be available for eligible products and destinations.

Selection of a next-day delivery service does not necessarily guarantee same-day dispatch unless expressly stated.

10.3 Delivery Charges

Delivery charges may be calculated according to order value, size, weight, destination and service selected.

Applicable charges will normally be displayed before checkout is completed.

10.4 Delivery Partners

We may use Royal Mail, Parcelforce, Evri, DPD and other courier, freight or pallet networks.

Unless expressly agreed otherwise, Avartek may select the carrier and delivery service considered appropriate for the order.

10.5 Tracking

Tracking information will normally be provided where a tracked service is used.

Some postal or economy services may not provide full end-to-end tracking.

10.6 Delivery Times

Delivery times are estimates unless expressly agreed otherwise.

For Consumer orders, applicable statutory delivery rights remain unaffected. Where no different delivery period has been agreed, current distance-selling rules generally require delivery without undue delay and within 30 days.

11. Northern Ireland, Highlands, Islands and Remote Areas

Additional charges or longer delivery times may apply to Northern Ireland, Scottish Highlands, UK Islands and other remote locations.

If an additional charge is required and has not already been calculated at checkout, we will contact you before dispatch.

12. International Deliveries

Selected products may be available for international delivery.

Delivery times and charges vary according to destination, parcel dimensions, weight and delivery method.

International shipments may be subject to customs formalities, import duties, taxes, clearance fees or other charges imposed by the destination country or relevant authorities.

Unless expressly stated otherwise, the recipient is responsible for applicable destination-country import requirements, customs duties, import taxes and other charges associated with importing the goods.

12.1 International Order Cancellations and Refunds

International orders may incur additional payment-processing, currency-conversion, banking and other third-party transaction charges.

Where an international order is cancelled or refunded at the customer’s request, Avartek reserves the right, where permitted by applicable law, to deduct from the refund any non-refundable payment-processing, currency-conversion, banking or other third-party transaction charges actually incurred by Avartek in connection with the order or refund.

For Business Customers, any discretionary refund relating to a cancelled international order may therefore be made net of such non-refundable charges actually incurred by Avartek.

Nothing in this section excludes or restricts any statutory Consumer right or other right which cannot lawfully be excluded or restricted. Where applicable law requires reimbursement without the deduction of such fees, no such deduction will be made.

12.2 Customs Duties and Import Charges

Unless expressly agreed otherwise in writing, international orders are supplied on the basis that the customer or recipient is responsible for any customs duties, import VAT, taxes, customs-clearance charges, brokerage charges or similar destination-country charges.

Customers are responsible for checking any applicable import restrictions, requirements and charges before placing an order.

12.3 Refused or Uncollected International Deliveries

Where an international shipment is refused, not collected, or returned to Avartek because the customer or recipient has failed or declined to pay applicable customs duties, taxes or other import charges, or has failed to provide information reasonably required for customs clearance, Avartek may, where permitted by applicable law, deduct from any refund the reasonable costs actually incurred as a result.

These may include the original international delivery charge, return-to-sender charges, customs or carrier charges and other non-refundable third-party costs directly associated with the returned shipment.

This does not apply where the failed delivery or return resulted from an error by Avartek or where applicable Consumer law requires otherwise.

13. Receiving and Checking Goods

Customers should inspect goods as soon as reasonably possible after delivery.

If an order appears damaged, incomplete or incorrect, please contact us promptly with:

  • your order number;
  • details of the issue;
  • details of any missing products; and
  • photographs where reasonably required to investigate damage or discrepancies.

We request that visible transit damage, shortages or discrepancies are reported within 24 hours where reasonably possible. This helps us investigate the matter and submit carrier claims.

Failure by a Consumer to report an issue within 24 hours does not remove statutory rights.

14. Failed Delivery and Returned Parcels

Customers are responsible for supplying a complete and accurate delivery address.

Where a delivery cannot be completed because:

  • an incorrect or incomplete address was supplied;
  • the recipient was unavailable where attendance was required;
  • the recipient failed to collect the goods within the carrier’s collection period;
  • delivery was refused without a valid legal basis; or
  • another circumstance attributable to the customer prevented delivery,

the carrier may return the goods to us.

Where permitted by law, reasonable costs actually incurred for the original delivery, return-to-sender service and/or redelivery may be payable by the customer or deducted from a refund.

This does not apply where failed delivery resulted from an error by Avartek or where applicable consumer law requires otherwise.

15. Missing Deliveries

If a UK order has not arrived within 6 working days of placing the order, please contact:

Please provide your order number, name and delivery postcode.

International, Northern Ireland and remote-area deliveries may take longer.

16. Consumer Cancellation Rights

This section applies to Consumers purchasing through distance-selling channels such as our website.

Subject to statutory exceptions, a Consumer generally has 14 days after receiving goods to tell us that they wish to cancel the order without giving a reason.

After notifying us, the Consumer generally has a further 14 days to return the goods.

Please provide your order number and clearly state that you wish to cancel.

17. Change-of-Mind Returns

For eligible Consumer change-of-mind returns, the customer is responsible for the direct cost of returning the goods where they have been properly informed of this responsibility.

We recommend obtaining proof of postage or using a suitable tracked service.

17.1 Original Delivery Charge

Where required by law, an eligible Consumer cancellation will include reimbursement of the cost of our least expensive standard delivery service applicable to the order.

If a Consumer selected a more expensive delivery option, such as next-day or express delivery, we are not required to refund the additional amount above the standard delivery cost.

17.2 Condition of Returned Goods

Consumers may inspect goods to establish their nature, characteristics and functioning in a similar manner to how they could reasonably inspect them in a shop.

Where handling goes beyond what is reasonably necessary and causes a reduction in value, we may make an appropriate deduction from the refund where permitted by law.

Where reasonably possible, goods should be returned complete with packaging, accessories and documentation.

18. Goods Excluded From Change-of-Mind Cancellation

Statutory cancellation rights do not apply to certain products.

Depending on the circumstances, exclusions may include goods:

  • made to the customer’s specification;
  • clearly personalised;
  • liable to deteriorate or expire rapidly;
  • sealed for health or hygiene reasons and unsealed after delivery; or
  • otherwise excluded from statutory cancellation rights.

These exclusions do not remove rights relating to faulty, damaged, incorrectly supplied or misdescribed goods.

19. Faulty, Damaged, Incorrect or Misdescribed Goods

Consumer goods must comply with applicable consumer law, including requirements relating to satisfactory quality, fitness for purpose where applicable and conformity with description.

Please provide your order number and details of the issue.

We may reasonably request photographs or other information to investigate a claim.

Where we are legally responsible for faulty or incorrectly supplied goods, we will bear reasonable return costs as required by law.

Nothing in these Terms excludes statutory remedies available to Consumers.

Terms attempting to remove responsibility for faulty or misdescribed consumer goods may be unenforceable, so these statutory protections remain expressly preserved.

20. Refunds

Where a refund is due, it will normally be made to the original payment method unless otherwise agreed or reasonably necessary.

For eligible Consumer cancellations, refunds will be made within the period required by law.

Where goods must be returned, we may withhold the refund until the goods have been received back or the Consumer supplies appropriate evidence that they have returned them, where permitted by law.

Current guidance generally requires refunds within 14 days after the goods are returned or evidence of return is supplied.

Payment-provider or banking processing times after we submit a refund are outside our direct control.

International refunds are additionally subject to Section 12 of these Terms. Where permitted by applicable law, non-refundable transaction or other third-party charges may be deducted as described in that section.

21. Business Customer Returns

Consumer cancellation rights do not apply to purchases made wholly or mainly for business purposes.

Where a Business Customer wishes to return correctly supplied, non-faulty goods, prior authorisation from Avartek is required.

Subject to applicable law and any separately agreed terms, we may:

  • refuse the return;
  • require goods to be unused and resaleable;
  • require original packaging;
  • require the customer to pay return carriage;
  • exclude original delivery charges from any discretionary refund; and/or
  • apply a reasonable restocking or administration charge where agreed or appropriate.

Business Customers should not return goods without first receiving return instructions from Avartek.

22. Joblot, Clearance and Mixed Pallet Goods

Avartek may from time to time offer products described as joblot, clearance, surplus, end-of-line, customer returns, graded stock, packaging-damaged stock, mixed stock or mixed pallets (“Joblot Goods”).

Joblot Goods may be purchased by both Consumers and Business Customers. The rights and return provisions applicable to a purchase will depend on whether the customer is purchasing as a Consumer or Business Customer as defined in Section 2 of these Terms.

22.1 Condition of Joblot Goods

Due to the nature of Joblot Goods, individual products within a pallet, lot or consignment may vary in type and condition.

Depending on the description of the particular Joblot, goods may include:

  • new or unused products;
  • surplus or overstock products;
  • discontinued or end-of-line products;
  • customer returns;
  • products with damaged, opened, marked, incomplete or missing packaging;
  • products without original retail packaging;
  • products with cosmetic marks or imperfections;
  • mixed colours, designs, brands, models or specifications; and
  • untested or unchecked products where expressly stated.

Customers must review the product description, photographs, condition information and any inventory or other information provided before placing an order.

Where Avartek is aware of a material defect, limitation or characteristic relevant to the sale, this will be identified in the applicable product description, quotation or other information provided before purchase.

22.2 Mixed Pallet Contents and Quantities

Where goods are advertised as a mixed or assorted pallet, the contents may vary unless Avartek has expressly provided an exact inventory which forms part of the contract.

Photographs may be representative of the type, range and condition of goods and should not be interpreted as confirmation that every product visible will be included unless expressly stated.

Where quantities are stated as approximate or estimated, reasonable variations may occur.

Where an exact quantity or inventory is expressly stated as forming part of the contract, the goods will be supplied on that basis subject to these Terms.

22.3 Untested, Returned and Graded Stock

Where Joblot Goods are expressly described as untested, unchecked, customer returns, graded stock or similar, Avartek may not have individually inspected or functionally tested every item.

No representation that every individual item is complete, tested or fully operational should be inferred unless expressly confirmed in the applicable product description or quotation.

The condition under which the goods are offered will form part of the description of the Joblot Goods.

Nothing in this section excludes rights or liabilities which cannot lawfully be excluded.

22.4 Packaging and Cosmetic Condition

Joblot Goods may have damaged, marked, opened, resealed, incomplete or non-original packaging where this has been disclosed or is consistent with the condition under which the goods are advertised.

Products may also have cosmetic marks, imperfections or signs of handling where stated in the applicable listing.

Customers requiring retail-perfect products or packaging should obtain confirmation from Avartek before purchasing.

22.5 Values and Resale

Any reference to an original selling price, recommended retail price, estimated value, potential resale value or similar figure is indicative only unless expressly guaranteed in writing.

Avartek does not guarantee that Joblot Goods can be resold at any particular price or within any particular period.

For Business Customers purchasing for resale, Avartek does not guarantee profitability, sales volume, customer demand, marketplace eligibility, achievable resale price or any other commercial outcome.

22.6 Business Customer Purchases

Business Customers are responsible for satisfying themselves before purchase that the Joblot Goods, condition, quantities and specifications are suitable for their requirements.

Unless expressly agreed otherwise in writing, correctly supplied, non-faulty Joblot Goods purchased by a Business Customer are not eligible for change-of-mind returns, exchanges or discretionary refunds.

A Business Customer will not be entitled to return correctly supplied Joblot Goods merely because:

  • the goods are no longer required;
  • the customer changes their mind;
  • some or all of the goods cannot subsequently be resold;
  • the achievable resale price or profit is lower than anticipated;
  • customer demand is lower than expected;
  • individual products sell more slowly than expected; or
  • the goods are commercially unsuitable for the customer’s intended resale strategy.

Any return exceptionally accepted by Avartek requires prior written authorisation and may be subject to agreed return carriage, administration or restocking charges.

Nothing in this section excludes or limits rights or liabilities which cannot lawfully be excluded.

22.7 Consumer Purchases

Consumers purchasing Joblot Goods retain their applicable statutory rights.

Where Joblot Goods are purchased through our website or another distance-selling method, applicable statutory cancellation rights will continue to apply unless a lawful exemption applies.

Describing goods as joblot, clearance, surplus, end-of-line, customer returns, graded, packaging damaged or similar does not remove statutory Consumer rights.

However, the nature, condition and any specific defects, limitations or characteristics clearly disclosed to the Consumer before purchase form part of the description and basis upon which the goods are sold.

Consumers should therefore carefully review the complete product description, photographs and condition information before placing an order.

22.8 Faulty, Incorrect or Misdescribed Joblot Goods

Nothing in this section excludes statutory rights relating to goods that are faulty, unsafe, incorrectly supplied, materially misdescribed or otherwise fail to conform to the contract.

A defect, cosmetic issue, packaging condition, missing component or other characteristic which was specifically and clearly disclosed before purchase will be considered as part of the condition and description under which the goods were sold, subject to applicable law.

Customers who believe Joblot Goods do not conform to the description provided should contact support@avartek.co.uk promptly with their order number, details of the issue and photographs where reasonably required.

22.9 Inspection Before Purchase

Where reasonably practical and agreed in advance, Avartek may allow customers to inspect certain Joblot Goods before purchase.

Customers requiring particular products, quantities, brands, models, specifications, conditions or packaging standards should obtain confirmation from Avartek before ordering.

Customers should not assume that a mixed pallet contains a particular product, quantity, model or condition unless this has been expressly stated as part of the sale.

22.10 Collection and Delivery

Joblot Goods may be supplied by collection, parcel carrier, freight carrier or pallet network depending on the nature and quantity of the goods.

Customers are responsible for ensuring that the delivery address supplied is accurate and suitable for the delivery method used, including appropriate access for pallet deliveries where applicable.

Where delivery fails because of an incorrect or incomplete address, refusal, unsuitable access or another circumstance attributable to the customer, reasonable additional delivery, return or redelivery costs may be charged where permitted by law.

22.11 Joblot Sales and Other Terms

This section should be read together with the other provisions of these Terms, including those concerning delivery, inspection, Consumer cancellation rights, refunds, Business Customer returns and limitation of liability.

Where a product listing, quotation or invoice identifies specific characteristics or conditions applicable to a particular Joblot, those details form part of the description and terms applicable to that sale.

Nothing in this Section 22 is intended to exclude, restrict or override any statutory right or liability which cannot lawfully be excluded or restricted.

23. Business Customers – Inspection and Claims

Business Customers should inspect goods promptly following delivery.

Visible shortages, incorrect products or transit damage should be reported as soon as reasonably possible, preferably within 24 hours, so that we can investigate and raise any applicable carrier claim.

Nothing in this section excludes liability which cannot lawfully be excluded.

24. Trade and Credit Accounts

Where Avartek grants a Business Customer credit facilities, invoices must be paid within the payment period stated on the invoice or otherwise agreed in writing.

We may suspend or withdraw credit facilities where payments become overdue or where we reasonably consider there to be an increased credit risk.

For qualifying late commercial payments, Avartek reserves the right to exercise applicable statutory rights concerning interest, fixed compensation and reasonable recovery costs.

Current GOV.UK guidance states that statutory interest on qualifying B2B late commercial payments is 8 percentage points above the Bank of England base rate.

25. Retention of Title

For Business Customers, ownership of goods supplied by Avartek will not pass to the customer until we have received cleared payment in full for those goods.

Nothing in this provision alters Consumer rights concerning delivery and transfer of risk.

26. Discount Codes and Promotions

Discount codes and promotional offers may:

  • be restricted to specified products or customers;
  • have an expiry date;
  • require a minimum spend;
  • exclude particular products;
  • be limited to one use;
  • be unavailable in combination with another promotion; and
  • be subject to additional promotional terms.

Unless expressly stated otherwise, discount codes and promotional prices cannot be applied retrospectively to orders already placed.

Discount codes have no cash value.

We may refuse or cancel a promotional discount where there has been an obvious error, fraud, misuse or breach of the applicable promotional conditions.

27. Quantity Discounts and Trade Pricing

Quantity discounts displayed on our website apply only to the relevant product, quantity and pricing tier shown at the time of purchase.

Customers requiring larger quantities may contact us for a trade quotation.

Unless expressly stated otherwise, quotations are subject to stock availability and any validity period specified.

A quantity price applicable to one order quantity does not automatically apply to a smaller quantity or subsequent order.

28. Price Promise

Avartek may offer customers a Price Promise under which we will consider matching or beating a comparable price offered by another UK retailer or supplier.

The Price Promise is a discretionary promotional service and does not create an automatic entitlement to a price match.

28.1 Price Promise Must Be Requested Before Purchase

All Price Promise requests must be submitted, verified and expressly approved by Avartek before the relevant order is placed.

Customers wishing to take advantage of the Price Promise should wait for confirmation from Avartek before placing their order.

Providing us with a website link, quotation, invoice or competitor price does not itself constitute approval.

28.2 No Retrospective Price Matching

Once an order has been placed, the price displayed and accepted at checkout or otherwise agreed when the order was submitted is the price applicable to that order, subject to statutory rights and our provisions concerning obvious pricing errors.

The Price Promise does not apply retrospectively.

Unless expressly agreed by Avartek before purchase, customers are not entitled under the Price Promise to a partial refund, credit, reimbursement or adjustment simply because:

  • the same or a similar product is subsequently found cheaper elsewhere;
  • another retailer subsequently reduces its price;
  • Avartek subsequently reduces its own price;
  • Avartek introduces a sale, promotion or discount after the order is placed;
  • a discount or promotional code subsequently becomes available;
  • another supplier subsequently provides a lower quotation;
  • a lower trade or wholesale price subsequently becomes available;
  • a lower price is available for another quantity or purchasing arrangement; or
  • the customer subsequently becomes eligible for another pricing tier.

A change in price after purchase does not, by itself, create an entitlement to a refund of the difference.

28.3 Like-for-Like Comparison

Price Promise requests must relate to an identical product or, where accepted by Avartek, a materially equivalent product.

When determining comparability, we may consider manufacturer and brand, model or product code, dimensions, materials, specification, quality or grade, colour or variation, pack/roll/unit quantity, product condition, minimum order quantity, warranty, stock availability, VAT, delivery charges, payment terms and other compulsory charges or purchasing conditions.

28.4 Total Comparable Price

We may compare the total cost of obtaining the goods rather than the advertised unit price alone.

VAT, delivery charges, minimum order quantities, compulsory fees, surcharges and other unavoidable costs may therefore be considered.

28.5 Competitor Requirements

Unless expressly agreed otherwise, the competitor must be a genuine UK-based retailer, distributor or supplier and must be able to supply the required quantity at the submitted price when we verify the request.

28.6 Excluded Offers

Unless expressly agreed by Avartek, the Price Promise does not apply to marketplace or third-party sellers, auction listings, private sellers, overseas sellers, clearance/liquidation/closing-down sales, used/refurbished/returned/ex-display goods, obvious pricing errors, membership-only pricing, employee discounts, voucher/promotional codes, cashback offers, loyalty rewards, personalised offers that cannot reasonably be verified, unavailable goods or offers which are not reasonably comparable.

28.7 Trade, Bulk and Pallet Pricing

Trade, bulk, wholesale and pallet prices will only be compared against offers based upon equivalent or reasonably comparable quantities, specifications, payment arrangements and delivery terms.

A competitor price requiring the purchase of a substantially larger quantity does not entitle a customer to the same unit price on a smaller Avartek order.

28.8 Evidence

We may request reasonable evidence including a direct website link, written quotation, proforma invoice, invoice, confirmation of availability or details of delivery charges.

We may independently verify information supplied with a Price Promise request.

28.9 Approval

A Price Promise is not approved until Avartek expressly confirms the revised price.

An approved price may apply only to the specified product and quantity, be subject to available stock, have an expiry date and/or be subject to the terms specified in our quotation.

Approval for one order does not create an entitlement to the same price on previous or future orders.

28.10 Orders Already Placed

Where an order has already been placed, Avartek is under no obligation under the Price Promise to amend the agreed price retrospectively.

Any retrospective discount, refund or account credit that Avartek chooses to provide as a gesture of goodwill is discretionary and does not establish a precedent or obligation in respect of any other transaction.

28.11 Price Promise and Cancellation Rights

The Price Promise does not provide an additional right to cancel an order.

Where a Consumer has a statutory right to cancel an eligible distance contract, that right remains separate from the Price Promise.

Cancelling or returning an eligible order does not automatically entitle the customer to place a replacement order at a competitor’s price. Any Price Promise request for a new order must be considered separately.

28.12 Statutory Rights

Nothing in this section affects statutory rights that cannot lawfully be excluded, including applicable Consumer rights concerning cancellation and faulty, damaged, incorrect or misdescribed goods.

29. Custom, Personalised and Special-Order Products

Products manufactured, printed, branded, personalised, cut, converted, configured, sourced or otherwise produced or obtained specifically to a customer’s requirements are treated as Custom Products for the purposes of these Terms. This includes customised printed tape, labels, packaging and other goods carrying customer-supplied artwork, wording, logos, colours, dimensions or specifications.

29.1 Customer Approval and Responsibility

Customers are responsible for carefully checking all specifications, dimensions, materials, quantities, colours, spelling, contact details, artwork, print layout and other information before approving a quotation, proof or production specification.

Approval by email, written message, signed proof, online submission or another recorded method constitutes the customer’s authority for us to proceed with production. Customers must not approve a proof unless every detail is correct.

We are not responsible for an error reproduced accurately from information, artwork or a proof supplied or approved by the customer, except where liability cannot lawfully be excluded.

29.2 Changes and Cancellations

Requests to change or cancel a Custom Product must be made in writing as soon as possible. A request is not accepted unless we confirm acceptance in writing.

Once artwork has been approved, materials have been ordered, supplier commitments have been made or manufacturing, printing, cutting, conversion, configuration or other custom work has begun, the order cannot be changed or cancelled for convenience.

If we agree to a cancellation before completion, any refund or credit may be reduced by reasonable and evidenced costs already incurred or losses caused by the cancellation. For Business Customers, this may include artwork, setup, tooling, plates, materials, production, supplier, freight, customs, payment-processing and administration costs. Any amount retained will be proportionate and will not operate as a penalty. Consumer rights will be observed where applicable.

29.3 No Change-of-Mind Returns

Custom Products which have been made to the customer’s specification or clearly personalised are not eligible for change-of-mind cancellation, return, exchange or refund where the statutory personalised-goods exception applies.

Correctly supplied, non-faulty Custom Products purchased by a Business Customer are non-returnable and non-refundable. Any return accepted as a gesture of goodwill requires our prior written authorisation and may be subject to reasonable costs and conditions agreed with the customer.

29.4 Colour and Production Variations

Screen displays and ordinary office printers do not provide an exact colour match to production printing. Unless a specific colour standard and tolerance have been expressly agreed in writing, reasonable variations in shade, positioning, print finish and appearance may occur between a digital proof, sample, production run or repeat order.

Any minor variation which is customary for the relevant manufacturing or printing process and does not make the goods materially different from the agreed specification will not, by itself, make the goods faulty or misdescribed.

29.5 Inspection and Claims

Customers should inspect Custom Products promptly after delivery. Any alleged production error, shortage, damage or departure from the approved specification should be reported promptly with the order number, a description of the issue and clear photographs or samples where reasonably requested.

Any requested reporting period is intended to assist investigation and does not remove statutory Consumer rights or any other right which cannot lawfully be excluded.

29.6 Faulty, Incorrect or Non-Conforming Custom Products

The exclusions in this section apply only to cancellation or return for convenience. They do not remove rights relating to Custom Products which are faulty, unsafe, incorrectly supplied, materially misdescribed or do not conform to the specification expressly agreed with us.

Where a valid fault or production error is established, the remedy will be determined in accordance with the contract and applicable law. Depending on the circumstances, this may include repair, replacement, re-performance, price reduction or refund.

30. Customer-Supplied Artwork and Information

Where a customer provides artwork, logos, trademarks, designs, measurements, specifications or other information for production, the customer is responsible for ensuring that the information supplied is accurate and that they have the necessary rights and permissions for us to use it.

We are not responsible for errors resulting directly from inaccurate information approved or supplied by the customer, except where liability cannot lawfully be excluded.

31. Limitation of Liability

31.1 Consumers

Nothing in these Terms excludes or limits liability where doing so would be unlawful or restricts statutory Consumer rights.

31.2 Business Customers

Subject to applicable law, Avartek shall not be liable to a Business Customer for indirect or consequential losses or for loss of profit, revenue, business, anticipated savings or opportunity arising from the contract.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

32. Events Outside Our Reasonable Control

We will not be responsible for failure or delay in performing obligations caused by circumstances outside our reasonable control.

These may include severe weather, natural disasters, fire, flood, strikes, industrial action, transport or carrier disruption, war, civil disturbance, governmental action, import/export restrictions, major telecommunications or IT failures and other comparable circumstances.

Where such an event materially affects an order, we will take reasonable steps to minimise disruption.

Consumer statutory rights remain unaffected.

33. Website Use and Intellectual Property

Unless otherwise stated, website content including text, graphics, photographs, logos, designs and product information is owned by or licensed to Avartek.

Content may be viewed or printed for legitimate personal or business purchasing purposes.

Content must not be copied, republished, distributed or commercially exploited without permission where doing so would infringe Avartek’s or a third party’s intellectual-property rights.

Third-party trademarks remain the property of their respective owners.

34. Website Availability

We take reasonable steps to maintain the availability and security of our website but cannot guarantee uninterrupted access.

Access may occasionally be suspended for maintenance, security, technical failures or circumstances outside our reasonable control.

35. Customer Accounts and Security

Customers are responsible for keeping their account credentials confidential.

Please contact us if you believe your account has been accessed without authorisation.

We may suspend an account where reasonably necessary for security, fraud prevention or a material breach of these Terms.

36. Privacy and Personal Information

We process personal information in accordance with our Privacy & Cookie Policy and applicable data-protection legislation.
